Initial public issue of 43,83,600 equity shares of face value of Rs. 10.00 each ("Equity Shares") of C2C Advanced Systems Limited (the "Company" or the "Issuer") for cash at a price of Rs. 226 per equity share including a share premium of Rs. 216 per equity share (the "Issue Price") aggregating to Rs. 99.07 crores ("The Issue") of which 2,19,600 equity shares aggregating to Rs. 4.96 crores will be reserved for subscription by market maker to the issue (the "Market Maker Reservation Portion"). The issue less the market maker reservation portion i.e. net issue of 41,64,000 equity shares aggregating to Rs. 94.11 crores (the "Net Issue"). C2C Advanced Systems Ltd was incorporated as 'C2C - DB Systems Private Limited', a Private Limited Company, dated February 21, 2018, issued by the RoC, Karnataka at Bengaluru. Subsequently the Company name changed to 'C2C Advanced Systems Private Limited' and a fresh Certificate of Incorporation dated May 12, 2022 was issued by the RoC. The Company status has been converted to a Public Limited Company, and the name of Company has been changed to 'C2C Advanced Systems Limited ' and a fresh Certificate of Incorporation dated December 22, 2023 is issued to Company by the RoC, Karnataka at Bengaluru. The Company in private sector, is engaged in providing IT enabled services and supplying related equipment. It specializes in delivering bespoke software, hardware and firmware solutions which are driven by our own Intellectual Property and third-party partners. It has a technology-led focus on design and development of advanced systems and sub-systems. Apart from this, Company specialize in delivering customized software and software enabled systems that control mission critical defence applications for military and security apparatus in India and globally. Their expertise in architecture design, data acquisition, data analytics and modelling, AI/ML has dual use in the civilian applications. The rigorous requirements placed by Military requirements allows it to innovate for the highest levels of performance. They have forayed into Defence Sector and delivered Combat Management Systems (CMS) for two Malaysian Naval Frigate Ships. With over 5 years of experience and an employee strength of 107, the Company delivered battle proven systems and intelligent decision support systems globally. The Company does not manufacture metal or electronic components. Their r Intelligent platforms enable the operationalization and provide data analytics to ensure efficient situational awareness and command and control. One of the key areas of architecture enable upgrading legacy platforms whose metal life is longer than the electronics or the system that run both. In 2019, the Company has set up Experience Centre at Bengaluru. The Company is proposing the Initial Public Offer of issuing 43,62,865 equity shares through fresh issue.
